Software License Agreement
 
IMPORTANT - READ CAREFULLY: This License Agreement is a binding legal document between Tangible Loop LLC, a New York limited liability company ("Author"), and the individual or entity installing or using this software product ("Software"), herein referred to as the "Licensee." The Licensee includes any purchasers, users, or evaluators of the Software. 

By installing, using, or evaluating the Software, the Licensee accepts and agrees to be bound by all terms and conditions of this Agreement. This Agreement stipulates that the Licensee, whether acting in an individual capacity or on behalf of an employer or other entity in a professional capacity, is duly authorized to accept these terms. If the Licensee does not agree to these terms, they must remove and cease use of the Software immediately.

Effective as of 2026-02-11, Tangible Loop LLC is the successor-in-interest to all rights, title, and interest in and to the Software previously owned by Milos Paripovic. All references in prior versions of this Agreement to Milos Paripovic shall be deemed to refer to Tangible Loop LLC.

License Grant & Ownership
 
* Scope of License: Under this Agreement, the Author grants the Licensee a non-exclusive and non-transferable license to use this Software, subject to the terms herein.
* Retained Rights: All right, title, and interest in and to the Software, including without limitation all copyrights and other intellectual property rights, remain exclusively with the Author. This Agreement constitutes a license for use only and does not transfer any ownership rights in the Software to the Licensee.
* Transfer Restrictions: The Licensee may not transfer or assign any of the rights or obligations granted under this Agreement to any other person or legal entity. The Licensee may not rent, lease, lend, sell, redistribute, or sub-license this Software.
* Material Breach: Failure to comply with any of the terms under this License section will be considered a material breach of this Agreement.
 
OneCommander offers two licensing options: a free Home license for personal and educational use, and a paid Professional (Pro) license for commercial use.

Home (Non-Commercial) License Terms
 
* License Nature: The Home license of OneCommander is freely available for personal, educational, and non-profit organization use, and does not require a license key.
* Usage Definition: Personal use is defined as employing the Software on a personal computer to manage personal documents, photos, movies, music, and other files without the intention of commercial gain.
* Feature Limitation: The Home license version provides a limited feature set. Certain settings and features are not modifiable or are locked and labeled with "Pro" within the software settings.

Professional (Pro) License Terms
 
* Commercial Requirement: Commercial use of the Software necessitates the purchase of a Pro license. This applies whether or not the additional features locked in the Home version are needed.
* Commercial Use Definition: Commercial use is defined as utilizing the Software in or for a business, directly or indirectly for financial gain, or on a company-owned device.
* Evaluation Period: In a commercial setting, the Licensee may download and use the Home licensed version for evaluation purposes for up to fourteen (14) days before the purchase of a Pro license is required.
* License Key Activation: The Pro license is activated and enforced through a unique License Key, which unlocks additional program features and settings labeled with "Pro" in the software.
* License Key Protection: Pro license holders are required to exercise reasonable efforts to safeguard their license key to prevent its unauthorized disclosure or distribution. This includes securing the license key against unauthorized access and not sharing it publicly or with individuals not covered under the terms of the Pro license.

Pro License Flexibility for Companies
* Multi-user Licenses: Companies can acquire multi-user Pro licenses, allowing any employee to use the Software provided the correct number of licenses has been purchased.
* Device Usage Flexibility: A Pro license is granted on a per-user basis, allowing a single licensed individual to install and use the Software on multiple devices (up to 10), as long as these devices are exclusively used by that licensed user (e.g., office workstation, work laptop, virtual machine).
* License Reassignment: If an employee leaves the company, their license key may be reassigned to another employee.
* Minimum Purchase Requirement: Companies must purchase a minimum of three (3) Pro licenses.
 
Duration and Updates for Pro Licenses
* Lifetime Use: Pro licenses are granted as lifetime licenses, permitting use without any time restrictions.
* Version and Updates Commitment: Upon purchasing a Pro license, Licensees gain access to the feature set of the Software as it stands at the time of purchase. The Author pledges to provide Licensees with access to any and all future "Pro" features developed for the Software at no additional cost. This commitment ensures that existing Pro license holders will benefit from enhancements and expansions to the Software's capabilities, should they be developed. However, the development of new features remains at the discretion of the Author.

Purchase & Refund Policy
 
* Evaluation Before Purchase: Because a free Home version of the software is available for download and extensive evaluation, users are expected to verify system compatibility, workflow performance, and software functionality prior to purchasing a paid license. 
* Refund Restrictions: Purchasing a license indicates that the software has been verified to meet your needs. Consequently, refunds are generally not provided for paid licenses. Refunds will not be granted for limitations observable in the free version, unadvertised feature expectations, unfamiliarity with the software, or stable functioning of experimental features.
* Discretionary Exceptions: Refunds may be granted at the Author’s sole discretion under limited circumstances, such as duplicate purchases, accidental billing errors, or a verifiable technical failure in a core Pro feature that could not be evaluated in the free version and cannot be resolved by support.
* EU Consumer Rights Notice: If you are a consumer located in the European Union, you have a statutory right to withdraw from digital purchases within 14 days. However, by purchasing and immediately activating your Pro license key, you explicitly acknowledge that the delivery of digital content begins immediately and that you waive your statutory right of withdrawal once activation occurs.
* License Revocation: If a refund is approved and processed to the original payment method, the associated license key will be immediately revoked, permanently disabled, and subsequent access to the software may be blocked to prevent misuse.
* Support First: Licensees agree to contact support at support@onecommander.com to resolve billing, activation, or technical issues before initiating a formal payment dispute or chargeback with a financial institution or payment processor.

Intellectual Property Restrictions
 
The Licensee shall not, and shall not attempt to reverse engineer, disassemble, or decompile this Software or alter or remove any proprietary rights or copyright notices or identifications of this Software. The Licensee shall not create any derivative works or other works that are based upon or derived from this Software in whole or in part. The Author retains sole and exclusive ownership and intellectual property rights to this Software. This Software is protected without limitation by US copyright law and international copyright treaty provisions. All rights not expressly granted hereunder are reserved for the Author.

Third-Party Components

This Software incorporates third-party components and libraries, including open-source components governed by their respective licenses. Third-party license notices are provided in "THIRD-PARTY-NOTICES.txt".

Limitation of Liability

The Software is provided by the Author and accepted by the Licensee "as is" and without warranty of any kind, express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall the Author, its affiliates, members, managers, employees, contractors, or contributors be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, without limitation, procurement of substitute goods or services; loss of profits, revenue, data, or business interruption) arising out of or relating to the use of, misuse of, inability to use, or malfunction of the Software, however caused and under any theory of liability, whether in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages.

In no event shall the Author’s total cumulative liability arising out of or relating to this Agreement or the Software exceed the amount actually paid by the Licensee for the Software.

The Author makes no warranty expressed or implied regarding the fitness of the software for a particular purpose or that the software will be suitable or appropriate for the specific requirements of the Licensee. The Author does not warrant that use of the software will be uninterrupted or error-free.

Warrants and Representations

To the Author’s knowledge, it has the right to license the Software under the terms of this Agreement.

Term and Termination
 
* Acceptance: All terms, conditions, and obligations of this Agreement will be deemed to be accepted by the Licensee upon installation or first run of the Software.
* Term: The term of this Agreement begins on Acceptance and is perpetual.
* Support: Licensee recognizes the Author is not obligated to provide support for the Software.
* Termination by Breach: This Agreement terminates automatically if the Licensee fails to comply with any of its terms. Upon termination, the Licensee must promptly uninstall and remove all copies of the Software. 
* Termination by Licensee: The Licensee may terminate the license at any time by uninstalling or deleting all copies of the Software.
* Key Misuse: Unauthorized distribution and sharing of a license key immediately voids the license and results in forfeiture of all rights to continue using the Software.

Governing Law
 
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. The parties agree that any legal action or proceeding arising under or relating to this Agreement shall be brought exclusively in the state or federal courts located in the State of New York, and the parties hereby consent to personal jurisdiction and venue therein.

Privacy and Data Handling Practices

Our Privacy Commitment: OneCommander is built on a "local-first" architecture. Your files, paths, and workflows belong to you. The Software is designed to respect user privacy, manage your data locally, and is not intended to transmit users' personal data or file contents to external servers.

Local Data and Caching
* Local Processing: All core file-management operations are executed entirely on your local machine. The Software never reads, transmits, or uploads your personal files, folders, or document contents.
* Performance Caching: For its core file-management functionality, the Software may locally cache data (such as temporary folder sizes, thumbnails of files, file paths, operation logs, and user preferences). This cached data is stored strictly on the user's computer and is never transmitted to any external servers.
* Credential Safety: User credentials are not collected, stored, or handled by the Software. Security authentications and User Account Control (UAC) prompts are managed directly and securely by Windows, maintaining the absolute security of your credentials.

Technical Connectivity
* Software Updates: To keep the Software up-to-date, it automatically checks for new versions at startup by querying OneCommander.com to retrieve the latest version number. This request safely transmits only the current application version number solely to determine if a newer build is available, with no user data being transmitted.
* License Validation: When a Pro license key is activated or validated, the Software securely transmits the license key and standard activation parameters to verify its validity. This information is processed exclusively for license management, fraud prevention, and customer support fulfillment.

Diagnostic & Usage Insights (Non-Company Licenses)
To help troubleshoot software issues, maximize application stability, and optimize default configuration choices, the Software may collect limited technical diagnostic data for Home licenses and individual non-company Pro licenses.
* What May Be Included: Crash reports, software exception details, stack traces (error messages and line numbers where an error originated), application/OS version data, and high-level preference selections (such as the most popular theme, layout, or font choices evaluated in the aggregate so default options can be optimized for new installations).
* Privacy Safeguards: This collection is done with the utmost care to exclude user-created file contents, documents, images, videos, passwords, or financial information. We ensure that technical data is sanitized before submission to protect your privacy, and all received diagnostics are treated with strict confidentiality.
* Commercial/Company Privacy Guarantee: When the Software is licensed under a company or commercial organization license, all application diagnostics, crash reporting, and usage telemetry are entirely disabled.

Secure Transactions and Third-Party Links
* Purchase Data Privacy: When purchasing a license, the user's name and email address are required to generate and deliver the license key. This key is auto-generated and sent directly to the provided email address for immediate use. None of this data is shared, rented, or sold to any third party.
* Secure Payments: Financial transactions for the license purchase are processed exclusively through established payment providers (such as Paddle, Stripe or PayPal). The Author does not access, handle, or store any credit card information. The security and privacy of payment information are governed entirely by the respective payment provider's privacy policy, ensuring financial data's protection.
* Business Operations: To ensure the possibility of immediate license key recovery, a copy of the license key email is securely stored within the Author's secure business systems (such as Google Workspace). This measure is maintained purely for the purpose of facilitating key recovery by the Licensee upon request, as well as for standard accounting obligations.
* External Links: Users have the option to access help documentation, support forums, or purchase resources through links within the Software, which open in your default web browser. These destination webpages may utilize standard web analytics (such as Google Analytics for standard visitor logging). However, this data collection is managed entirely by the destination webpages and is not accessible by the Software or any third parties through it.

Data Retention & Privacy Support
Diagnostic and purchase records are retained only as long as reasonably required to fulfill the operational, support, legal, and fraud-prevention purposes outlined in this Agreement. For any inquiries regarding your data or these privacy practices, please contact us at support@onecommander.com.

Severability & Miscellaneous
 
* Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
* No Partnership: This Agreement does not create or imply any relationship in agency or partnership between the Author and the Licensee.
* Headings: Headings are inserted for convenience only and shall not affect the interpretation of this Agreement.
* Compliance with Local Laws: It is the responsibility of the Licensee to ensure that the terms and conditions of this Agreement comply with all local, state, national, and international laws applicable to the Licensee. By accepting this Agreement, the Licensee acknowledges this responsibility and, to the extent permitted by law, expressly waives any rights that conflict with the terms of this Agreement.
* Entire Agreement: This Agreement contains the entire agreement between the parties. No oral or written statement or advice provided by the Author, distributors, agents, or employees shall create a warranty or in any way increase the scope of this warranty.

Changes and Contact
 
The Author reserves the right to modify or replace these terms and conditions at any time. If a revision is material, notice will be communicated through the feature-update dialogs for at least two Software updates. What constitutes a material change will be determined at the Author's sole discretion. By continuing to access or use this Software after those revisions become effective, the Licensee agrees to be bound by the revised terms.
